Terms & Conditions

Last updated: 28 August 2026

These Terms & Conditions govern your access to and use of the WarnDesk workforce-monitoring platform. They set out your responsibilities — in particular, your obligation to monitor only your own devices and workforce, lawfully, with proper notice to Employees — and the limits of WarnDesk’s responsibility.

WarnDesk provides monitoring technology; how you use it, and whether your use is lawful in your jurisdiction, is your responsibility. Please read these Terms and the Privacy Policy carefully.

1.Agreement to these Terms

These Terms & Conditions (the “Terms”) are a binding agreement between WarnDesk (“WarnDesk”, “we”, “us”) and the organisation or person that registers for or uses the WarnDesk workforce-monitoring platform (the “Service”) (“Customer”, “you”). By creating an account, installing the agent, or using the Service, you accept these Terms and our Privacy Policy. If you do not agree, do not use the Service.

If you accept these Terms on behalf of an organisation, you represent that you are authorised to bind that organisation, and “you” means that organisation.

2.Definitions

  • “Service” — the WarnDesk website, dashboard, APIs and monitoring agent.
  • “Customer” — the organisation that subscribes to and administers the Service.
  • “End User” / “Employee” — a person whose company-owned or company-authorised device is monitored through the Service.
  • “Monitoring Data” — data collected from monitored devices as described in the Privacy Policy.
  • “Order” — the plan and quantities you select (devices, employees, term).

3.The Service

WarnDesk provides tools to monitor and manage company devices, including live and recorded screen viewing, application, website and file activity, audio monitoring, time and productivity reporting, restricted-website / application controls, VPN and USB detection, messaging and remote actions. Features available to you depend on your plan. We may improve, change or discontinue features from time to time.

4.Accounts, eligibility & security

You must be at least 18 years old and capable of forming a binding contract. You are responsible for the accuracy of your registration details, for maintaining the confidentiality of your credentials and two-factor authentication, and for all activity under your account. Notify us immediately of any unauthorised use. We may suspend accounts to protect the Service or investigate suspected violations.

5.Customer responsibilities & lawful use

You are the controller of the Monitoring Data and are solely responsible for the lawfulness of your monitoring. You represent, warrant and agree that you will, at your own cost:

  • Only monitor devices you own or are lawfully authorised to monitor, used by your own workforce for work purposes.
  • Comply with all applicable laws in every jurisdiction where your Employees are located, including data-protection, privacy, employment, labour, wiretapping/interception, and workplace-surveillance laws.
  • Provide clear, prior notice to Employees that their devices are monitored, and obtain any consent, works-council approval, or other authorisation required by local law, before monitoring.
  • Limit monitoring to what is necessary and proportionate for a legitimate business purpose, and refrain from covert, excessive, or off-duty monitoring where prohibited.
  • Maintain your own employee-monitoring policy and honour Employees’ data-subject requests, for which WarnDesk will provide reasonable assistance.
  • Not use the Service to unlawfully spy on individuals, intercept private communications where prohibited, monitor personal or third-party devices without authority, or for stalking, harassment or any unlawful purpose.

You acknowledge that WarnDesk provides technology only, does not control how you configure or use it, and is not your legal adviser. You are responsible for obtaining your own legal advice on the lawful use of monitoring in your jurisdictions.

6.Acceptable use

You will not, and will not permit anyone to: (a) use the Service unlawfully or in violation of these Terms; (b) monitor devices or persons without proper authority and notice; (c) attempt to breach, probe or circumvent the security of the Service; (d) reverse engineer, resell, or provide the Service to third parties except as permitted; (e) upload malware or interfere with the Service’s operation; or (f) use the Service to infringe others’ rights. We may investigate and take action, including suspension or termination, for suspected violations.

7.Subscriptions, trials, fees & auto-expiry

Paid plans are billed in advance for the term you select and cover the number of devices and employees stated in your plan (one device may be shared by multiple employees across shifts, subject to plan limits).

We offer a 3-day money-back guarantee on paid plans, as set out in our Refund & Return Policy. Except for that guarantee (and any rights you have under applicable law), fees are non-refundable.

Trial plans are provided free for the stated trial period (for example, a 3-day trial). At the end of the trial the subscription automatically expires and monitoring stops unless you upgrade to a paid plan; we are not obliged to retain trial data after expiry. Where an expiry date applies, the Service may stop monitoring affected devices once that date passes.

We may change pricing or plan features on notice; changes apply from your next renewal. You are responsible for applicable taxes.

8.Payments, billing & fraud protection

To keep your money safe, please read this section carefully. WarnDesk handles all billing directly. We do not use third-party resellers, agents or representatives to collect payment on our behalf.

Where to pay

  • A payment is only valid when it is transferred to the exact bank account details shown to you on the WarnDesk checkout / payment page for your order. Those details are the only account we accept payment to.
  • After you transfer, you upload your payment receipt in the dashboard and your subscription is activated once we confirm the funds. Every order and receipt is recorded against your company account.
  • Do not send payment to any other account, wallet, link or person — even if someone claims to be from WarnDesk. If bank details you were given do not match those shown on your checkout page, stop and contact us first.

How we communicate

  • Our only official email addresses are info@warndesk.com and support@warndesk.com, and our only official website is warndesk.com (with the dashboard at app.warndesk.com).
  • WarnDesk will never confirm a payment, request payment, change bank details, or ask for passwords, OTPs or card details through any other email address, phone number, messaging app, social media account or person.
  • Any payment instruction, “confirmation”, discount or refund that does not come from our official email addresses and does not match your checkout page is not from WarnDesk and should be treated as fraudulent. Please report it to support@warndesk.com.

WarnDesk is not responsible for funds sent to any account other than the bank details shown on your official WarnDesk checkout page, or for actions taken on the basis of communications from any channel other than our official email addresses.

9.Intellectual property & licence

The Service, including all software, the agent, the dashboard, and all related intellectual property, is and remains owned by WarnDesk and its licensors. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your internal business purposes during your subscription. You retain ownership of your Monitoring Data; you grant us the rights needed to host and process it to provide the Service.

10.Data protection

Our processing of personal data is described in the Privacy Policy, which forms part of these Terms. As between the parties, you are the controller and WarnDesk is the processor of Monitoring Data, processing it only on your documented instructions and applying appropriate security measures. Where required, a Data Processing Addendum applies and is incorporated by reference.

11.Third-party services

The Service may rely on third-party infrastructure and may interoperate with third-party software (e.g. operating systems and browsers). We are not responsible for third-party services, and your use of them is subject to their own terms.

12.Disclaimer of warranties

The Service is provided “AS IS” and “AS AVAILABLE”, without warranties of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that it will detect every event, block every site or application, or meet your specific requirements. Monitoring, blocking and detection features are best-effort and may be affected by device, network, browser or operating-system behaviour outside our control.

13.Limitation of liability

To the maximum extent permitted by law, WarnDesk and its suppliers will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, data, goodwill, or business, arising out of or related to the Service, even if advised of the possibility.

To the maximum extent permitted by law, WarnDesk’s total aggregate liability arising out of or related to the Service or these Terms will not exceed the amounts you paid to WarnDesk for the Service in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded by law.

You are responsible for how you use the Service; WarnDesk is not liable for consequences arising from your unlawful or improper monitoring, your configuration choices, or your failure to inform Employees or obtain required consents.

14.Indemnification

You will defend, indemnify and hold harmless WarnDesk, its affiliates, and their personnel from and against any claims, damages, liabilities, penalties, fines, costs and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your Monitoring Data or configuration; (c) your violation of these Terms or applicable law; or (d) any claim by an Employee or third party relating to your monitoring, including failure to provide notice or obtain consent.

15.Suspension & termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate access immediately if you breach these Terms, fail to pay, or use the Service unlawfully, or if required by law or to protect the Service. On termination, your licence ends and we may delete your data after a reasonable period, subject to law. Sections that by their nature should survive (e.g. IP, disclaimers, liability, indemnity, governing law) survive termination.

16.Governing law & disputes

These Terms are governed by the laws applicable at WarnDesk’s principal place of business, without regard to conflict-of-laws rules, except where mandatory local law grants you additional rights. You agree to the exclusive jurisdiction of the competent courts at that location for disputes, subject to any mandatory rights to bring proceedings locally. The parties will first attempt to resolve disputes in good faith.

17.Changes to these Terms

We may update these Terms from time to time. Material changes will be notified through the Service or by email, and the “Last updated” date above will change. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

18.Miscellaneous

These Terms and the Privacy Policy are the entire agreement between us regarding the Service. If any provision is held unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them to an affiliate or successor. Neither party is liable for delays or failures caused by events beyond its reasonable control (force majeure).
